Pastries Sample Opportunity Terms

By signing up via this form indicating your desire to participate in the survey referenced herein (the “Survey”) or by otherwise participating in the Survey, you accept the following terms (“Terms”), which constitute a binding agreement between you and Magic Spoon Inc. (“Magic Spoon,” “we,” or “us”).  If you do not agree to these Terms, you must not sign up for this form or otherwise participate in the Survey.  

In order to express your interest in participating in the Survey, you must register on this form indicating the same. Magic Spoon will select a limited number of individuals who express such interest to complete the Survey. Indication of your desire to participate does not guarantee that you will be selected to participate. Even if you are selected, your participation is voluntary, and you may choose not to participate. If you do not sign up, we will assume you do not wish to participate. If you are selected to participate, we will send you a link to the Survey. If we do not send such a link, you have not been selected. After you start the Survey, Magic Spoon may contact you for more information or to follow up. 

You agree that your participation in the Survey, and all information you submit or that we collect through such participation (“Data”), is subject to our Terms of Use and Privacy Policy, which are hereby incorporated by reference. All Data constitutes User Content, as defined in our Terms of Use. Magic Spoon generally shares with third parties only Data in an aggregated form, that cannot be used to identify you. However, you acknowledge that there is some risk, which you assume by entering Data, that a third party might be able to use the Data to identify you. While Magic Spoon makes efforts to ensure Data is aggregated and de-identified prior to sharing with any third party, Magic Spoon makes no representations or warranties regarding the same.

All products and information that you evaluate in connection with the Survey are non-public, confidential, proprietary information or material that is the sole and exclusive property of Magic Spoon (collectively, “Confidential Information”). You must not copy, share, forward or disclose to anyone by any means, the Confidential Information, and you must not use the Confidential Information for other purpose than to complete the Survey.

UNDER NO CIRCUMSTANCES, WILL MAGIC SPOON OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, LICENSEES OR SERVICE PROVIDERS, BE LIABLE TO YOU OR TO ANY THIRD PARTY CLAIMING THROUGH YOU FOR ANY LOSSES OR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SURVEY, THE DATA OR THESE TERMS, INCLUDING, WITHOUT LIMITATION, ALL LOSSES AND DAMAGES OF ANY KIND (WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, INCOME OR PROFITS), WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF MAGIC SPOON HAS BEEN ADVISED OF SUCH DAMAGES. 

These Terms contain the entire understanding of the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous written or oral understandings, agreements, representations, and warranties with respect to such subject matter. The invalidity, illegality, or unenforceability of any provision herein does not affect any other provision herein or the validity, legality, or enforceability of such provision in any other jurisdiction.
